Our client, a highly respected and extremely prestigious global leader in the integrated energy and chemical industry, is looking for a Corporate Legal Counsel to join their dynamic, multicultural and multilingual organisation in The Hague. 

The successful candidate will be experienced in commercial contracts and corporate law, as well as proven skills in negotiating, documenting, and closing a variety of complex transactions. They would manage multiple priorities in a fast-paced work environment and collaborate with business units to develop deal structures and mitigate associated risks.

Job Profile for Corporate Legal Counsel

Responsibilities will include but not be limited to:

  • Identify and analyse the legal issues based on the available information, apply the relevant facts to the laws, regulations, and internal policies and procedures
  • Develop solutions, draft legal opinions and advise the Chief Counsel, management, and corporate clients accordingly
  • Provide opinions on a wide range of cross-jurisdictional issues, including procurement and supply chain management, contract negotiations, tax planning and/or compliance, financing, and litigation
  • Conduct research and due diligence reviews, and memorialised reports and memoranda addressing transactional, commercial, and corporate level legalities
  • Work with cross-disciplinary teams – including Finance, HR, Contracting, Engineering, and others – to implement common objectives
  • Assist the Chief Counsel and the Legal Team in examining the law and facts pertinent to the Company’s operation at the enterprise level
  • Communicate with internal and external stakeholders and counterparts
  • Provide legal support to the company and its foreign offices and operations

Candidate Profile for Corporate Legal Counsel

  • Must be fluent in English, both written and spoken
  • Law degree from a recognised, accredited institution
  • Must be a registered Bar Member in the United States, Canada, the United Kingdom or the Netherlands
  • Minimum 5-10 years of professional experience in private practice (at least 2 years) and as an in-house attorney. Advanced qualification(s) or other work experience are a plus
  • Experience with Mergers & Acquisitions and a solid financial background
  • Proven experience in Corporate law and Contracting as a primary legal domain, as further detailed below:
    • Corporate Law and Contracting: able to draft, review, negotiate and manage disputes/settlements arising from a wide range of commercial agreements – including EPC contracts, shareholder agreements
    • Financing arrangements: maintain and update templates for LMA-based loan agreements; draft loan agreements; assist with ISDA documentation; assist with documentation related to capital contributions. Provide advice to the Treasury and Finance departments where required
    • Acquisitions and investments: act for the company in respect of its acquisitions, global investments and related activities – and be able to advise corporate clients, senior management and other key stakeholders
  • Seek and strive to understand the business as a system and how all the functions interconnect
