Our client is a global leader and a prestigious, reputable company with more than 35 years of experience in investment management and advisory services globally. 

We are looking for a Lawyer to join our client’s office in Amsterdam and to provide legal support under Dutch law for the company’s local activities.

Job Profile for Lawyer
Responsibilities will include but not be limited to:

• Draft and negotiate/implement relevant contracts (e.g. investment management agreements with institutional clients; model advisory, co-marketing, partnership, and distribution agreements with supply partners; license agreements; intra-group services agreements; non-disclosure agreements) – ca. 50%
• Provide advice for local MiFID-regulated investment firm, its board and its foreign branches in corporate law and corporate governance matters – ca. 35%
• Respond to related legal queries, everyday business law matters where they arise in a regulated entity or generally, for example, answer questions on Dutch mortgage law for the mortgage team in the Eindhoven office; legal and regulatory developments and impacts (e.g. WTP/DORA); Dutch law contributions to company’s projects – ca. 15%
• Commission external legal advice where appropriate, ensuring quality advice is delivered, manage the local counsel relationships and budget requirements
• Liaise and work closely with the local Compliance team and other company members on the EMEA level

Candidate Profile for Lawyer

• Must be fluent in Dutch and English, both written and spoken
• A Dutch law degree is a must; Bar admission is preferred
• Several years of experience, ideally at a major law firm, or in-house within a large financial services company or asset manager
• Knowledge of relevant laws and regulations for fund management and asset management activities in the Netherlands, including clients’ supervisory laws (Dutch pension funds regulation)
• Knowledge of UCITS, AIFMD, MiFID, SFDR and local sustainability-related regulatory developments
• Technical expertise and experience in asset management and investment products (EFT, UCITS, AIF, ELTIF) along with Dutch corporate law and corporate governance experience
• Previous involvement with providing support for in-house departments in a fast-paced onboarding situation
